ABSTRACT
Commonwealth Caribbean Companies Acts recognise that the effectiveness of duties imposed on directors in the Acts ultimately depends upon the extent to which directors and officers can avoid or otherwise mitigate liability for breach of these duties. Consequently, these Acts, except in Belize, to a greater or lesser extent include provisions on the liability of directors for breach by directors of the duties imposed on them by these statutes.
